martineau johnson helps to set pr firm afloat

17/07/2007

A Birmingham and London law firm has played a vital role in getting the UK's fastest growing regional PR network to the AIM market.

Martineau Johnson's Corporate team provided the legal advice in connection with the initial public offering (IPO) of Freshwater UK PLC. Dealings in the shares began on Monday 16 July.

The PR, marketing services and communications firm has just raised £4m before expenses in a Placing, to assist with plans to grow its business both organically and by acquisition.

Freshwater, which employs 87 people and is headquartered in Cardiff, has already successfully integrated seven businesses since its beginning a decade ago.

Its business model is based on a matrix of regional and London outlets and a range of specialist services, which enables the group to provide specialist services with regional connections.

It also benefits from being a consolidator in a fragmented market, with many smaller businesses looking to be part of a larger entity.

Martineau Johnson was appointed to advise on the IPO in a competitive tender, having previously provided legal advice in connection with major acquisitions.

Martineau Johnson's team was headed by corporate partners Adam McGiveron and Kavita Patel, who worked with Freshwater and its broker Charles Stanley.

"Freshwater demonstrated that high quality companies with a track record of growth can generate strong interest from investors," said Adam McGiveron.

Freshwater's chief executive Steve Howell said: "Our flotation means that we can accelerate our growth plans by using our listing and the finance raised to make larger acquisitions and recruit and retain the best people.

"We benefited from a proactive partnership with our lawyers as well as our broker, Charles Stanley.

"Martineau Johnson's specialist Corporate team helped us by adding value to the introductions to potential investors successfully undertaken by our broker."
