Risk Management or a waste of money?

Clients should be aware of the benefits derived from having contracts negotiated properly so as to protect their interests. Of course, there is an associated cost. Some businesses may regard the formal negotiation of such contracts as a luxury. Some may recall satisfactory long term commercial relationships which have been created with a minimum of documentation, or even just over a handshake, without adverse consequences becoming apparent. It does happen. However, such circumstances are far outweighed by the number which go wrong somewhere down the line because the businesses concerned did not take the trouble to explore and consider what would happen in the circumstances ahead of them, before entering into the relationship. Negotiating before one is faced with the changed circumstances is far easier than doing so when the new circumstances have arisen.

There is great truth in the saying: "marry in haste, repent at leisure" in the commercial context; it is undeniable that the resolution of a dispute during the course of a commercial relationship is bound to be a more difficult, stressful (yes, and costly) exercise for the parties than the precaution of entering into detailed negotiations with a properly concluded contract at the outset.
