Our commerce team performs two primary functions. These concern:

Both of these functions encompass an exceptionally wide range of skills and experience.

The contractual work falls into 3 broad categories, namely:

  • commercial contracts
  • consumer contracts
  • e-commerce

The commercial contracts include those concerning different methods of trading (including agency, distributorship, franchising and, increasingly, network marketing), outsourcing and other long term supply arrangements, intellectual property licensing and assignments, terms and conditions of business and contractual joint ventures.

Members of the commerce team are experts in many topics which can be relevant in almost any contract, such as limitations of liability, dispute solution methods, rights to interest, rights of third parties, currency and exchange provisions, jurisdiction and choice of law.

The commerce team advises across a wealth of topics. These include the various contractual areas already mentioned but also many others. The following represents only a partial list of areas in which members of the team are regularly called upon to advise:

The clients of the commerce team are drawn from across the spectrum of the clients of the firm, sector by sector. They include:

  • clients in the manufacturing and service sectors
  • new economy clients, which perhaps owe their existence to the development of the internet
  • evolving economy clients which have seen their world change by virtue of the exponential development of communications technologies and have changed their businesses accordingly. In this way we have assisted numerous clients to adapt to electronic commerce, both as regards supplies and sales
  • Everything from the larger Multinational to the sole proprietor

Our approach is always to see a client's instructions in terms of objectives, and to assist in achieving those objectives as expeditiously as possible.

The core of our commercial law capabilities are the commerce team which is dedicated to this range of work full time.
